Strategic Legal Leadership in a Risk-Driven World

Rakesh Kaushik

Chief Legal Officer and President - Legal

BPTP Limited

When over 200 telecom towers across Delhi and Uttar Pradesh were sealed by municipal authorities for alleged violation of building bylaws and non-payment of statutory fees, the sudden enforcement triggered immediate disruption of services and reputational risk for telecom operators and customers alike. Rakesh orchestrated a high-stakes legal and regulatory strategy in coordination with industry partners and COAI, filed writ petitions in Delhi and Lucknow High Courts and secured interim reliefs of de-sealing of the telecom towers. Demonstrating exceptional strategic foresight, Rakesh successfully obtained interim relief from the Jodhpur High Court against the levy of Entry Tax under challenging circumstances, effectively safeguarding substantial revenue. His profound command over civil and criminal court procedures has repeatedly enabled companies to navigate complex legal landscapes, ensuring uninterrupted business operations and the protection of individual liberties. In an exclusive interview with TradeFlock, Rakesh reflected on how these crises became a defining moment in his career, underscoring the non-negotiable importance of meticulous documentation, proactive compliance, and strategic stakeholder management in risk sensitive industries. Recognising deeper governance gaps, he initiated a comprehensive compliance risk assessment, developed a Compliance Risk Register, and led organisationwide legal and regulatory reviews to identify regulatory vulnerabilities and implement mitigation strategies. The outcome not only prevented penalties but also strengthened operational resilience and credibility among investors, regulators and the public. With over 26 years of experience spanning litigation, corporate compliance, contracts, mergers and acquisitions and risk management across FMCG, telecom, healthcare, manufacturing, infrastructure, and real estate. Rakesh has consistently transformed complex legal challenges into strategic opportunities. Rakesh, also in his dual role as the Company Secretary of listed companies, has deep insights into SEBI compliance and corporate governance, and guided the Board of Directors on critical litigation and compliance issues. Today, as Chief Legal Officer and President – Legal at BPTP Limited, he blends expertise with strategic foresight and mentorship, positioning himself as a trusted legal and business partner capable of navigating the most complex legal and regulatory landscapes. He is grateful to his parents, mentors, colleagues, and superiors who guided and supported him in shaping his career. Read the complete interview below.

Which milestones most shaped your leadership as a corporate legal expert?

Looking back, several milestones have profoundly shaped my leadership approach and professional outlook as a corporate legal expert. A defining phase was the transition from serving primarily in an advisory capacity to actively contributing as a strategic business partner, a shift that commenced during my tenure with Hindustan Unilever and further evolved through my tenures at Viom (American Towers) and domestic and global exposure on legal and regulatory risks at Bharti Airtel, Varun Beverages and recently with Max Healthcare. These experiences revealed the transformative power of law in shaping business models, enabling expansion, and mitigating risk at the boardroom level. It reinforced that legal leadership is most effective when it drives smart, compliant, and sustainable growth. Each milestone along the way has strengthened my belief that the legal function is not merely a support role but a strategic enabler of trust, innovation, and long-term value creation. Exposure to diverse sectors, such as FMCG, telecom, infrastructure, healthcare, manufacturing, and now real estate, has broadened my perspective on how law can drive operational excellence while upholding the highest standards of governance. As I continue to evolve as a legal leader, I remain committed to leveraging law to create business value in a riskfree environment.

What are the key gaps in India’s legal framework, and how can they be addressed?

I feel, cybersecurity and data protection are among India’s most pressing legal challenges, especially with the DPDP Act demanding stronger compliance readiness. Laws must evolve to address new-age threats like ransomware, deepfakes, and AI-driven risks through agile enforcement. Another key gap lies in environment, health, and safety regulations, which require a shift from reactive compliance to proactive governance.

How did you adapt across industries, and which principles remained constant?

One of the defining features of my career has been the opportunity to work across diverse sectors. Each industry brought its own legal and regulatory frameworks, operational nuances, and business priorities, requiring me to adapt my legal approach with both agility and focus. This involved understanding the business model, navigating industry-specific regulations, customising contract structures, and aligning risk management with litigation strategy. In FMCG, the focus was on consumer legislation, viz. FSSAI, weights and measures, brand protection and litigation; in telecom and infrastructure, regulatory approvals, licensing and high-stakes contracts demanded greater strategic foresight; in healthcare, the priorities were entirely different, being heavily compliancedriven based on laws, regulations, with medical protocols for almost all procedures and strategising medicolegal litigation. Here, adapting meant learning the nuances of each sector, anticipating business challenges, and offering commercially viable solutions rather than purely reactive legal advice. Despite these shifts, certain core legal principles remained constant: values and standards, keeping up-to-date, proactive risk identification, clear stakeholder communication, and the commitment to enabling compliance. This balance of adaptability and steadfast principles has allowed me to provide meaningful legal guidance across industries while facilitating innovation and supporting long-term organisational goals.

How will corporate legal leaders’ roles evolve with AI, data protection, and ESG in the next decade?

Over the next decade, corporate legal leaders will assume a more strategic, integrated role as AI, data protection, and ESG become central business priorities. Legal teams must leverage technology to strengthen compliance, contracts, and risk oversight. With data privacy, cybersecurity, and ESG requiring robust governance, future legal departments will combine legal, technology, and data expertise to shape legal strategy and way forward.
